1. Acceptance of Terms

By accessing or using Timelee ("the App," "Service," "Platform," "Application"), you ("User," "you," "your") agree to be bound by these Terms of Service ("Terms," "Agreement"). If you do not agree to these Terms, you must immediately discontinue use of the Service.

Timelee reserves the right to modify, update, or replace these Terms at any time without prior notice. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

2. Description of Service

Timelee is a comprehensive productivity and task management application that provides the following features:

2.1 Core Features

  • Comprehensive Task Management: Create, organize, categorize, prioritize, and manage tasks with subtasks, notes, images, and voice memos
  • Advanced Alarm Management: Unified dashboard for all reminders including tasks, events, calendar entries, and location-based triggers
  • Seamless Calendar Integration: Synchronization with device calendars to import events, appointments, and schedules
  • Day Reminders: Repetitive notifications for routine actions (medication, hydration, exercise, etc.)
  • Smart Place Reminders: Location-based alerts triggered by arrival or departure from specific locations
  • Versatile Timer Options: Count up, count down, and continuous timers for productivity tracking
  • Team Collaboration: Create teams, share tasks and reminders with synchronized notifications
  • Multiple Notification Methods: Push notifications, email alerts, phone calls, and IVR (Interactive Voice Response) calls

2.2 Subscription Plans

  • Basic Plan: Free tier with core functionalities
  • Lite+ and Premium Plans: Paid subscriptions with ad-free experience and advanced features

3. User Responsibilities

3.1 Account Security

  • You are solely responsible for maintaining the confidentiality and security of your account credentials
  • You are responsible for all activities that occur under your account, whether authorized or unauthorized
  • You must notify Timelee immediately of any suspected unauthorized access or security breach
  • Timelee is not liable for any loss or damage arising from your failure to maintain account security

3.2 Accurate Information

  • You agree to provide accurate, current, complete, and truthful information during registration
  • You agree to promptly update your information to maintain its accuracy
  • Timelee is not responsible for any consequences resulting from inaccurate or outdated information

3.3 Lawful Use

  • You agree to use the Service only for lawful purposes and in compliance with all applicable laws
  • You will not use the Service to violate any local, state, national, or international laws or regulations
  • You will not use the Service to harm, harass, threaten, defame, or violate the rights of others
  • You will not attempt to circumvent, disable, or interfere with security features of the Service

3.4 Phone and Communication Services

  • You acknowledge and accept that phone call, IVR, SMS, and email notification features may incur charges from your telecommunications or internet service provider
  • You are solely responsible for any and all charges incurred from your service provider
  • You must have proper legal authorization and consent for any phone numbers or email addresses you add to receive notifications
  • Timelee is not responsible for any unauthorized use of contact information or communications sent to third parties

3.5 Location Services

  • You must grant appropriate location permissions for Place Reminders to function
  • You acknowledge that continuous location tracking may significantly drain device battery
  • You are responsible for managing location permissions and understanding privacy implications
  • Timelee is not liable for any consequences related to location data collection or usage

3.6 Team and Shared Content

  • You are responsible for all content you create, share, or transmit through team collaboration features
  • You must have authorization from team members before adding them to teams
  • You are liable for any disputes or issues arising from shared tasks or team interactions

4. Disclaimer of Warranties

4.1 "AS IS" and "AS AVAILABLE" Service

THE SERVICE IS PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Title
  • Quiet enjoyment
  • Accuracy of data
  • Uninterrupted, timely, secure, or error-free operation
  • Freedom from bugs, viruses, or harmful components

4.2 No Guarantee of Service Delivery

TIMELEE EXPLICITLY DOES NOT GUARANTEE, WARRANT, OR REPRESENT THAT:

  • Reminders, alarms, or notifications will be delivered at the scheduled time or at all
  • Phone calls, IVR calls, emails, or push notifications will reach their intended recipients
  • The Service will be available, accessible, or operational at any particular time
  • The Service will meet your specific requirements or expectations
  • Any notifications will be accurate, reliable, timely, or complete
  • Location-based reminders will trigger correctly or at the intended location
  • Calendar synchronization will be error-free, complete, or real-time
  • Timer functions will be accurate or reliable
  • Day reminders or repetitive notifications will function as configured
  • Team collaboration features will work without interruption
  • Data will be preserved, backed up, or recoverable
  • The Service will be compatible with your device, operating system, or other software

4.3 Third-Party Dependencies

Timelee relies on third-party services including but not limited to telecommunications networks, email providers, calendar services, mapping services, and device operating systems. Timelee makes no warranties regarding the availability, reliability, or functionality of these third-party services.

4.4 Critical Use Disclaimer

TIMELEE IS NOT DESIGNED, INTENDED, OR SUITABLE FOR USE IN CRITICAL, LIFE-THREATENING, OR HIGH-RISK SITUATIONS including but not limited to:

  • Medical reminders for life-saving medication
  • Emergency notifications or alerts
  • Safety-critical applications
  • Mission-critical business operations
  • Any situation where failure could result in death, personal injury, or environmental damage

YOU ACKNOWLEDGE THAT YOU USE TIMELEE AT YOUR OWN RISK AND SHOULD NOT RELY ON IT FOR CRITICAL OR TIME-SENSITIVE MATTERS.

5. Limitation of Liability

5.1 No Liability for Missed Notifications or Service Failures

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIMELEE, ITS PARENT COMPANY, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR:

  • Missed Notifications: Any missed, delayed, inaccurate, or failed reminders, alarms, notifications, phone calls, IVR calls, emails, or push notifications
  • Consequences of Missed Events: Any consequences resulting from missed appointments, tasks, events, deadlines, medication schedules, or other time-sensitive matters
  • Location-Based Failures: Failure of location-based reminders to trigger, incorrect location detection, or privacy breaches related to location data
  • Calendar Integration Issues: Synchronization errors, data loss, or corruption related to calendar integration
  • Timer Inaccuracies: Inaccurate timer measurements or timer failures
  • Data Loss: Loss, corruption, or unauthorized access to user data, tasks, notes, images, voice memos, or any other content
  • Service Interruptions: Any interruption, suspension, or termination of the Service
  • Device Issues: Battery drain, device performance issues, storage consumption, or device malfunctions
  • Financial Losses: Loss of profits, revenue, business opportunities, contracts, or goodwill
  • Third-Party Services: Failures, errors, or issues with third-party services or integrations
  • Team Collaboration: Actions taken by team members, unauthorized sharing, or disputes between users
  • Telecommunications Charges: Any charges incurred from telecommunications or internet service providers
  • Security Breaches: Unauthorized access to accounts or data breaches, except where required by law

5.2 Types of Damages Excluded

IN NO EVENT SHALL TIMELEE BE LIABLE FOR ANY:

  • Direct damages
  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Special damages
  • Punitive damages
  • Exemplary damages
  • Loss of use
  • Loss of data
  • Loss of profits
  • Loss of business
  • Loss of opportunity
  • Personal injury
  • Property damage
  • Emotional distress
  • Reputational harm

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF TIMELEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5.3 Maximum Liability Cap

TO THE FULLEST EXTENT PERMITTED BY LAW, TIMELEE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The total amount you paid to Timelee in the twelve (12) months immediately preceding the event giving rise to liability, OR
  • One Hundred United States Dollars (USD $100.00)

5.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above exclusions and limitations shall apply to the maximum extent permitted by applicable law.

5.5 Essential Basis of Agreement

You acknowledge and agree that these limitations of liability are an essential element of the agreement between you and Timelee, and that Timelee would not provide the Service without these limitations.

6. Indemnification

6.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Timelee, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, partners, licensors, suppliers, contractors, and representatives from and against any and all third-party claims, actions, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees, expert fees, and litigation costs) arising from or relating to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any laws, regulations, or third-party rights
  • Any content you create, upload, share, or transmit through the Service
  • Your interactions with other users or team members
  • Any unauthorized use of your account
  • Any phone calls, IVR calls, emails, or notifications sent to third parties through your account
  • Any claims related to location data or privacy violations
  • Any disputes with team members or regarding shared content
  • Your failure to obtain necessary permissions or authorizations
  • Any negligent or willful misconduct on your part

6.2 Defense and Settlement

Timelee reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree not to settle any such matter without Timelee's prior written consent. You will cooperate fully with Timelee in the defense of any claim.

7. Call Credit System and Payments

7.1 Call Credit Purchase

  • Phone call and IVR reminder features require the purchase of call credits
  • Call credit pricing varies by destination phone number and telecommunications provider
  • All call credit purchases are final and non-refundable except as required by law
  • Unused call credits do not expire but may be subject to future policy changes

7.2 No Guarantee of Credit Usage

  • Timelee does not guarantee that purchased call credits will successfully result in completed calls
  • Failed calls due to technical issues, incorrect phone numbers, or blocked numbers will still consume credits
  • Timelee is not obligated to refund credits for failed calls or unsuccessful notifications

7.3 Payment Processing

  • Payments are processed through third-party payment processors
  • You agree to comply with all terms and conditions of the payment processor
  • Timelee is not responsible for payment processing errors or issues

7.4 Subscription Billing

  • Premium subscriptions are billed on a recurring basis (monthly or yearly)
  • You authorize Timelee to charge your payment method automatically
  • You are responsible for maintaining valid payment information
  • Failure to pay may result in service suspension or termination

8. User Content and Data

8.1 Ownership

  • You retain ownership of all content you create, including tasks, notes, images, and voice memos
  • You grant Timelee a worldwide, non-exclusive, royalty-free license to host, store, and process your content solely for the purpose of providing the Service

8.2 Data Backup

  • Timelee is not responsible for backing up your data
  • You are solely responsible for maintaining your own backups
  • Timelee may delete data without notice in accordance with data retention policies

8.3 Privacy

  • Your use of the Service is subject to Timelee's Privacy Policy
  • You acknowledge that location data, usage data, and communication metadata may be collected
  • You consent to the collection and use of data as described in the Privacy Policy

9. Termination

9.1 Termination by You

  • You may terminate your account at any time by contacting Timelee support
  • Upon termination, you will lose access to all data and content
  • No refunds will be provided for unused subscription periods or call credits

9.2 Termination by Timelee

Timelee reserves the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Violation of applicable laws
  • Fraudulent or illegal activity
  • Abuse of the Service
  • Non-payment of fees
  • At Timelee's sole discretion

9.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • All licenses granted to you will terminate
  • You remain liable for all obligations incurred prior to termination
  • Sections of these Terms that by their nature should survive will survive termination

10. Intellectual Property

10.1 Timelee's Rights

All intellectual property rights in the Service, including software, design, trademarks, logos, and content, are owned by or licensed to Timelee. You are granted only a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

10.2 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the Service to develop competing products
  • Sell, rent, lease, or sublicense the Service

11. Dispute Resolution

Timelee's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without Timelee's prior written consent. Timelee may assign these Terms without restriction.

12.5 Force Majeure

Timelee shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

12.6 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated.

12.7 Export Compliance

You agree to comply with all applicable export and import laws and regulations.

12.8 Notice

Timelee may provide notices to you via email, push notifications, or by posting on the Service. You agree that electronic communications satisfy any legal requirement that such communications be in writing.
